Henry's Music Influencer Terms and Conditions

1. Introduction

These Terms and Conditions govern participation in the Henry’s Music Influencer Program. By creating an influencer account, you agree to be bound by these Terms, which form a legally binding agreement between you (“Influencer”) and Praha Music Center spol. s r.o., Ocelářská 937/39, 190 00 Prague, Czech Republic, Company ID: 18626459, VAT: CZ18626459 (hereinafter referred to as "Henry’s Music").

2. Account Creation and Approval

• All influencer accounts must be manually approved by Henry’s Music.
• Influencers are required to provide accurate company information, including valid company details (if applicable), numbers and contact details.
• Upon approval, each influencer receives a unique tracking URL.
• Only natural persons are eligible to participate. AI-generated personas, avatars, or virtual influencers are not permitted.

3. Scope of Work

• Influencers will promote Henry’s Music products via online platforms such as Instagram, YouTube, TikTok, blogs, etc.
• The influencer is responsible for generating content such as reviews and product highlights, mentioning “Henry’s Music” by name.

4. Content Guidelines

• All content must align with Henry’s Music brand values and promote products in a truthful,
• Content must be based on genuine, personal experiences using the actual product.
• Content must not contain profanity, hate speech, misleading claims, or anything that could damage the reputation of Henry’s Music.
• Discount codes and unique URLs must only be shared directly with followers (e.g., in stories or DMs). Public sharing (e.g., in video descriptions or public posts) is strictly prohibited.
• Influencers agree to comply with all applicable advertising laws, including appropriate sponsorship disclosures (e.g., #ad, #sponsored).

5. Compensation and Commission Structure

• Influencers earn a commission for every completed sale made via their unique tracking link.
• Commission rates may vary by product category and are visible to influencers in their program dashboard.
• Henry’s Music reserves the right to change commission rates at any time without prior notice.
• Commissions are calculated at the end of each calendar month and paid out after a 2-month delay to account for potential returns (e.g., commissions earned in May are paid in July).
• If a product is returned within 30 days of purchase, the relevant commission is deducted from future payouts.
• All orders must be manually reviewed and confirmed by Henry’s Music before any commissions are paid. Orders flagged for fraud, incomplete payment, or other issues are not eligible for commission.

6. Cookie-Based Tracking

• Commissions are tracked via cookies when a customer visits the website using the influencer’s unique link.
• Commissions apply to all purchases made by that customer during the same session.

7. Termination

This Agreement may be terminated by either party at any time, with immediate effect, by providing written notice to the other party.

All outstanding commissions earned before the termination date shall be calculated and paid out by the standard payout schedule, provided the underlying orders remain eligible under these Terms.

8. Confidentiality

Influencers may not disclose confidential or proprietary information shared by Henry’s Music, including non-public business strategies, performance data, or marketing materials.

9. Limitation of Liability

Henry’s Music shall not be liable for indirect, incidental, or consequential damages. The maximum liability under these Terms is limited to unpaid but earned commissions.

10. Compliance with Law

Influencers must comply with all applicable laws and regulations, including but not limited to EU advertising standards, data protection (GDPR), and consumer rights.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Czech Republic. Any disputes shall be submitted exclusively to the courts of the Czech Republic.

12. Agreement to Terms

By creating an influencer account, you confirm that:

• You have read, understood, and agreed to these Terms and Conditions.
• You are a real person acting in your own name and not an AI-generated persona or virtual character.
• You will comply with all guidelines regarding content authenticity and behavior.
